HVJ Diamonds is a retailer of fine jewelry, including jewelry featuring natural diamonds, lab-created diamonds, gemstones, and precious metals. By accessing or using our Services, creating an account, or placing an order, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Return & Exchange Policy, our Privacy Policy, and any additional policies published by HVJ Diamonds. If you do not agree to these Terms, you must not access or use our Services.

1. Definitions

“Services” means our website and all related functionality, content, and purchasing capability, together with any in-person retail, showroom, or other sales channel that HVJ Diamonds may offer now or in the future.

“Content” means text, images, product descriptions, graphics, and other materials made available through the Services.

“Merchandise” means the jewelry and related products offered for sale by HVJ Diamonds.

“User Content” means reviews, testimonials, photographs, video, social media posts, or other materials voluntarily submitted or displayed publicly by customers.

“You” or “customer” means the individual accessing or using the Services or purchasing Merchandise.

HVJ Diamonds Inc. is a California corporation engaged in the sale of fine jewelry. Products and services may be offered through our Website and other sales channels authorized by HVJ Diamonds.

Nothing contained in these Terms shall be interpreted as creating a partnership, joint venture, agency, employment relationship, franchise, fiduciary relationship, or other legal relationship between you and HVJ Diamonds beyond that of customer and retailer.

4. Permitted Use of the Website

Subject to these Terms, HVJ Diamonds grants you a limited, personal, non-exclusive, non-transferable, and revocable license to access and use the website solely for lawful personal shopping and informational purposes. You may not use the Services unlawfully, fraudulently, or abusively, interfere with the security or operation of the website, attempt unauthorized access to any account or system, introduce malicious code, scrape or harvest content through automated means, impersonate another person or entity, or use our content for any commercial purpose without our prior written consent. HVJ Diamonds reserves the right to suspend, restrict, or terminate access to the Services whenever we reasonably determine it necessary to protect our customers, business, intellectual property, or legal rights.

HVJ Diamonds strives to maintain the availability and functionality of the Services but does not guarantee uninterrupted, secure, or error-free access. Access may be temporarily unavailable due to maintenance, technical issues, hosting interruptions, security measures, or circumstances beyond our reasonable control. HVJ Diamonds reserves the right to modify, suspend, restrict, or discontinue any portion of the Services at any time without prior notice, where permitted by law, and shall not be liable for any resulting loss or inconvenience.

6. Product Information, Specifications, and Media

HVJ Diamonds strives to ensure that all product information made available through the Services is accurate and up to date. Nevertheless, fine jewelry is inherently unique, and certain variations are expected and commercially reasonable.

Unless expressly stated otherwise, all product specifications, including but not limited to diamond carat weight, total carat weight (“CTW”), gemstone weight, gemstone dimensions, precious metal weight, ring width, band thickness, necklace length, bracelet length, pendant dimensions, millimeter measurements, and overall product dimensions and weight, are estimates based on the intended finished product. Minor variations resulting from manufacturing processes, polishing, finishing, gemstone cutting, stone setting, sourcing, or accepted industry tolerances shall not be considered defects or misrepresentations.

Certain product options may be identified by nominal or approximate size designations, including but not limited to total carat weight (“CTW”), individual stone weight, gemstone size, millimeter dimensions, or similar specifications. Due to normal manufacturing practices, gemstone selection, and accepted industry tolerances, the actual measurements, weights, or dimensions of the finished jewelry may vary slightly from the designated product option. Unless expressly stated otherwise, the specifications displayed are intended to identify the approximate characteristics of the finished jewelry and are not a guarantee that the completed product will exactly match the stated measurements, weights, or dimensions.

Natural diamonds, lab-created diamonds, natural colored gemstones, lab-created colored gemstones, and precious metals each possess unique characteristics. Variations in appearance, inclusions, growth characteristics, brilliance, color perception, fluorescence, texture, finish, and other naturally occurring or manufacturing-related characteristics are normal and shall not, by themselves, constitute a defect.

Product photographs, videos, lifestyle imagery, digital renderings, computer-generated renderings, artificial intelligence (“AI”) generated images, videos, visualizations, and other promotional or marketing materials made available by HVJ Diamonds are provided for illustrative purposes only. Actual products may vary slightly from the images or other visual materials due to photography, lighting, monitor or mobile device settings, manufacturing processes, materials, gemstone characteristics, AI-generated visualizations, or other factors beyond our reasonable control. Such differences shall not, by themselves, constitute a defect, misrepresentation, or basis for cancellation, return, exchange, or refund where the product otherwise conforms to its material specifications.

HVJ Diamonds reserves the right to correct any typographical, clerical, photographic, pricing, dimensional, specification, or other errors or omissions appearing on the Services at any time without prior notice. The availability of any product or information on the Services does not constitute a guarantee that such product or information will remain available or unchanged.

7. Diamond Type Disclosure and Grading

Whether a diamond is natural or lab-created will be stated in the applicable product listing or order confirmation.

Where a diamond or gemstone is accompanied by a grading report, certificate, or appraisal, that document is issued by an independent third-party gemological laboratory (such as GIA or IGI) and not by HVJ Diamonds. Grading standards can vary slightly between laboratories and involve an element of professional judgment. HVJ Diamonds does not guarantee that another laboratory would reach an identical grading conclusion, and HVJ Diamonds is not liable for discrepancies between grading laboratories.

8. Pricing, Errors, and Product Availability

HVJ Diamonds makes every reasonable effort to ensure that pricing, descriptions, specifications, images, and other content displayed through our Services are accurate; however, errors, inaccuracies, or typographical mistakes may occasionally occur. HVJ Diamonds reserves the right, at any time and without prior notice, to correct any error, update information, revoke promotions, limit quantities, discontinue products, or refuse or cancel orders, regardless of whether an order has been submitted or payment received. If an order is cancelled because of a pricing error, inventory discrepancy, or similar issue, HVJ Diamonds’ sole obligation shall be to refund any amount actually paid for the affected merchandise, unless otherwise required by applicable law. The display of products does not guarantee availability, and inventory may change without notice.

9. Orders, Acceptance, and Right to Refuse Service

Your submission of an order constitutes an offer to purchase and does not guarantee acceptance. All orders are subject to review, verification, product availability, payment authorization, and acceptance by HVJ Diamonds; an automated order confirmation does not constitute acceptance. HVJ Diamonds reserves the right, to the fullest extent permitted by law, to refuse, limit, cancel, or decline any order at any time before shipment, including in cases of suspected fraud, pricing or inventory discrepancies, payment authorization failures, or violations of these Terms. If an order is cancelled after payment has been processed, any eligible refund will generally be issued to the original payment method unless otherwise required by applicable law.

10. Payment Terms

All prices are quoted in United States Dollars (USD) unless expressly stated otherwise. Payment must be successfully authorized before an order is processed. By submitting payment information, you represent that you are authorized to use the selected payment method and authorize HVJ Diamonds and its payment processors to charge the total purchase amount, including applicable taxes and fees. HVJ Diamonds uses independent third-party payment processors and does not store complete payment card information on our own servers. If a payment is declined, reversed, or disputed, HVJ Diamonds may suspend processing, cancel the order, or require an alternative payment method.

11. Sales Tax

Applicable sales, use, or similar taxes will be calculated and collected where required by law, based on the shipping destination and other applicable factors. Customers are solely responsible for any taxes or governmental charges not collected by HVJ Diamonds but legally owed in connection with their purchase.

12. Shipping and Delivery

HVJ Diamonds currently offers complimentary standard shipping on eligible orders shipped within the United States. Orders are generally processed and prepared for shipment within three (3) business days after payment authorization and order acceptance, unless otherwise stated. Processing and delivery times are estimates only and are not guaranteed, and delivery dates may be affected by circumstances beyond our reasonable control. HVJ Diamonds reserves the right to select the shipping carrier, method, and route used for any order. Customers are responsible for providing a complete and accurate shipping address, and HVJ Diamonds is not responsible for delays or losses resulting from inaccurate shipping information provided by the customer.

In the unlikely event that your order cannot ship within the timeframe stated above, we will contact you before any significant delay and give you the choice to continue waiting or cancel for a full refund, consistent with federal shipping regulations.

13. Signature Confirmation and Risk of Loss

Orders are shipped with signature confirmation or other delivery security measures selected by HVJ Diamonds at its sole discretion. Risk of loss and title to merchandise transfer to the customer upon confirmed delivery by the carrier to the shipping address provided with the order, including any required signature confirmation, except where applicable law provides otherwise. If tracking information reflects that a package has been delivered with the required confirmation, HVJ Diamonds is not responsible for loss, theft, or damage occurring after delivery, although we may, as a courtesy, assist customers with carrier investigations.

14. Identity Verification and Fraud Prevention

HVJ Diamonds reserves the right to verify customer identity, payment information, billing information, or other transaction details before accepting or shipping an order, and may request additional documentation, including government-issued photo identification, where reasonably necessary to investigate suspected fraud or protect against unauthorized transactions. Failure to provide requested verification may result in order delays, cancellation, or refusal of service. HVJ Diamonds reserves the right to report suspected fraudulent activity to payment processors, financial institutions, or law enforcement where permitted or required by law.

15. Returns, Exchanges, and Cancellations

Returns, exchanges, cancellations, and refunds are governed by the HVJ Diamonds Return & Exchange Policy, which is incorporated into these Terms by reference. By placing an order, you acknowledge that you have reviewed and agree to the Return & Exchange Policy, which controls all matters relating to return eligibility, inspection procedures, refunds, warranty claims, and final sale merchandise.

16. Chargebacks and Payment Disputes

Customers agree to contact HVJ Diamonds and make a good-faith effort to resolve any concerns regarding an order before initiating a payment dispute or chargeback with their financial institution or payment provider. If a chargeback or payment dispute is initiated regarding merchandise that has been delivered, or if HVJ Diamonds reasonably believes that a chargeback has been filed fraudulently or without a valid legal basis, we reserve the right, to the fullest extent permitted by applicable law, to present all relevant documentation to the applicable financial institution or payment processor. Such documentation may include order confirmations, invoices, communications, shipping records, carrier tracking information, delivery confirmations, signature confirmations, photographs, inspection records, and any other information reasonably necessary to establish the validity of the transaction. Nothing in this Section limits any legal or equitable rights or remedies available to HVJ Diamonds under applicable law.

17. Intellectual Property

The Website and all content made available through our Services, including but not limited to text, product descriptions, product names, logos, trademarks, service marks, trade dress, graphics, photographs, videos, digital renderings, artificial intelligence (“AI”) generated content, software, source code, page layouts, designs, icons, downloadable materials, marketing content, and the overall look and feel of the Website, are owned by or licensed to HVJ Diamonds and are protected by United States and international intellectual property laws.

Except as expressly permitted in writing by HVJ Diamonds, no portion of the Website or its content may be copied, reproduced, republished, modified, distributed, transmitted, displayed, sold, licensed, reverse engineered, or otherwise exploited for any commercial purpose.

Nothing contained in these Terms grants you any ownership interest or license in any intellectual property belonging to HVJ Diamonds except for the limited right to access and use the Website in accordance with these Terms.

18. User Submissions

If you voluntarily submit User Content to HVJ Diamonds, or publicly post or display User Content in a manner that references, tags, or is directed at HVJ Diamonds, you represent that you own or control all rights necessary to provide it and you grant HVJ Diamonds a worldwide, perpetual, irrevocable, non-exclusive, royalty-free, transferable, sublicensable license to use, reproduce, modify, publish, distribute, display, and create derivative works from such content for lawful business purposes, including advertising and marketing, without further notice or compensation unless prohibited by applicable law. HVJ Diamonds reserves the right, but not the obligation, to remove, edit, or refuse to display User Content for any reason.

The website may contain links to third-party websites or services not owned or controlled by HVJ Diamonds. These links are provided solely for convenience and do not constitute an endorsement of any third party. HVJ Diamonds is not responsible for the content, privacy practices, or business practices of any third-party website, and your interactions with third parties are governed solely by their own terms and policies.

Your privacy is important to us. Our collection, use, storage, disclosure, and protection of personal information are governed by our Privacy Policy, which is incorporated into these Terms by reference.

Our Website may use cookies, pixels, web beacons, software development kits, analytics tools, and similar technologies to operate the Website, improve functionality, analyze Website performance, personalize content, detect fraud, maintain security, and, where permitted by law, support advertising and marketing activities. By using our Services, you acknowledge that such technologies may be used as described in our Privacy Policy and, where required by applicable law, subject to your consent or preferences.

Our marketing communications practices, including email and any future SMS program, are governed by our Privacy Policy, incorporated herein by reference.

21. Export Controls, Sanctions, and Anti-Money Laundering Compliance

Customers agree not to purchase, export, re-export, transfer, or otherwise use products purchased from HVJ Diamonds in violation of applicable United States export control laws, trade sanctions, or other legal restrictions. HVJ Diamonds reserves the right to refuse or cancel any transaction that, in our reasonable judgment, may violate applicable export regulations, anti-money laundering laws, or sanctions programs, and may request additional information or documentation necessary to verify compliance.

22. Disclaimer of Warranties

Except as expressly provided in HVJ Diamonds’ Limited Manufacturing Warranty or otherwise required by applicable law, the Services and all products, content, and materials made available by HVJ Diamonds are provided on an “AS IS” and “AS AVAILABLE” basis. To the extent any implied warranties (including the implied warranty of merchantability or fitness for a particular purpose) cannot be lawfully disclaimed, such implied warranties are limited in duration to one (1) year from the date of delivery, consistent with the Limited Manufacturing Warranty described in our Return & Exchange Policy. To the fullest extent permitted by law, HVJ Diamonds disclaims all other warranties of any kind, whether express, implied, or statutory, and does not warrant that the Services, pricing, inventory, or product information will always be complete, accurate, or error-free. Nothing in these Terms excludes or limits any warranty that cannot lawfully be excluded under applicable law.

23. Limitation of Liability

To the fullest extent permitted by applicable law, HVJ Diamonds, together with its officers, directors, employees, agents, contractors, and service providers, shall not be liable for any indirect, incidental, consequential, exemplary, special, or punitive damages arising out of or relating to the Services, these Terms, or any purchase, regardless of the legal theory asserted, even if advised of the possibility of such damages. This includes, without limitation, damages arising from manufacturing or delivery delays, carrier delays, loss of business opportunities, loss of profits or data, unauthorized account access, or events beyond our reasonable control. To the fullest extent permitted by law, HVJ Diamonds’ total aggregate liability for any claim arising out of or relating to these Terms or any product purchased shall not exceed the amount actually paid by the customer for the specific product giving rise to the claim. Certain jurisdictions do not permit the exclusion or limitation of certain damages; in those jurisdictions, the foregoing limitations apply only to the maximum extent permitted by law.

24. Indemnification

You agree to defend, indemnify, and hold harmless HVJ Diamonds and its officers, directors, employees, agents, contractors, and service providers from and against any claims, liabilities, damages, judgments, and costs, including reasonable attorneys’ fees, arising out of or relating to your violation of these Terms, misuse of the Services, violation of applicable law, infringement of any third party’s rights, or any negligent or wrongful act or omission by you. This obligation survives termination of these Terms and your use of the website.

25. Force Majeure

HVJ Diamonds shall not be liable for any delay or failure to perform resulting, directly or indirectly, from events beyond our reasonable control, including acts of God, natural disasters, pandemics, war, terrorism, civil unrest, labor disputes, shortages of materials, carrier delays, utility or telecommunications outages, cybersecurity incidents, governmental actions, or changes in applicable law. In the event of a Force Majeure occurrence, HVJ Diamonds shall be entitled to a reasonable extension of time to perform its obligations, or, where appropriate, to cancel affected orders and issue any refund required by applicable law.

26. Governing Law

These Terms, the Services, and all disputes arising out of or relating to your relationship with HVJ Diamonds shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict-of-law principles, except to the extent superseded by applicable federal law. Subject to the arbitration provisions in these Terms, any legal proceeding not required to be resolved through arbitration shall be brought exclusively in the state or federal courts located in Los Angeles County, California, and each party irrevocably submits to the jurisdiction of those courts.

Before initiating any formal legal proceeding, arbitration, or court action (except where immediate relief is permitted by applicable law), you agree to first contact HVJ Diamonds in writing and provide a reasonable description of the issue, the relevant details, and the requested resolution. HVJ Diamonds and the customer agree to make a good-faith effort to resolve any dispute informally for a period of sixty (60) days after receipt of written notice.

If the dispute cannot be resolved through informal discussions within the applicable resolution period, any claim or dispute arising out of or relating to these Terms, the Services, or any purchase transaction shall be resolved through binding arbitration on an individual basis, except that either party may bring an individual claim in small claims court if the claim qualifies under applicable law.

Any arbitration shall be conducted before a neutral arbitrator and administered by a mutually agreed-upon arbitration provider. If the parties cannot agree on an arbitration provider, the provider or arbitrator shall be selected in accordance with applicable law.

To the fullest extent permitted by law, you and HVJ Diamonds each waive any right to a jury trial and agree that any dispute shall be resolved solely on an individual basis. You and HVJ Diamonds waive any right to participate in or bring a class action, class arbitration, collective action, representative action, or similar proceeding.

Each party shall be responsible for its own attorneys’ fees and costs unless otherwise required by applicable law or awarded by the arbitrator. Arbitration fees and administrative costs shall be allocated in accordance with applicable law and the rules governing the arbitration.

Opt-Out Right: You may opt out of this arbitration agreement by sending written notice to HVJ Diamonds within thirty (30) days of your first purchase. Your opt-out notice must identify your name, contact information, and state that you are opting out of the arbitration agreement. If you opt out, neither party will be bound by the arbitration provisions contained in this Section.

Nothing in this Section prevents either party from seeking temporary, preliminary, or injunctive relief from a court of competent jurisdiction when necessary to protect intellectual property rights, confidential information, prevent fraud, or address other circumstances where such relief is permitted by law.

28. Notices

HVJ Diamonds may provide notices to you by email using the address associated with your account or order, or by posting a notice on our website; such notices are deemed received when sent or posted. You may provide legal notices to HVJ Diamonds by email or by mail to the address in Section 36; notices sent by mail are deemed received five (5) business days after mailing.

29. Accessibility

HVJ Diamonds is committed to making our Services as accessible and user-friendly as reasonably possible, and we continually evaluate opportunities to improve usability and accessibility. Because accessibility standards and assistive technologies continue to evolve, we do not represent that every portion of the website will be accessible to every user or compatible with every assistive technology at all times. If you experience difficulty accessing any portion of our website, please contact us so we can assist you.

30. Reservation of Rights

The failure of HVJ Diamonds to exercise or enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. HVJ Diamonds reserves all rights and remedies available under these Terms, applicable law, and equity, including the right to correct administrative or technical errors and to take any action reasonably necessary to protect our customers, business, or legal interests.

31. Severability

If any provision of these Terms is determined by a court or arbitrator of competent jurisdiction to be unlawful, invalid, or unenforceable, that provision shall be enforced to the maximum extent permitted by applicable law, and the remaining provisions shall remain in full force and effect.

32. No Waiver

No waiver by HVJ Diamonds of any breach or default under these Terms shall be deemed a waiver of any preceding, subsequent, or continuing breach or default. Any waiver must be in writing and signed by an authorized representative of HVJ Diamonds.

33. Assignment

You may not assign, transfer, or delegate any rights or obligations under these Terms without the prior written consent of HVJ Diamonds. HVJ Diamonds may assign or transfer these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, restructuring, or sale of assets.

34. Survival

Any provision of these Terms that, by its nature, should survive termination shall survive, including provisions relating to intellectual property, payment obligations, disclaimers, limitation of liability, indemnification, dispute resolution, arbitration, governing law, class action waiver, and fraud prevention.

35. Entire Agreement

These Terms, together with our Privacy Policy, Return & Exchange Policy, and any additional policies expressly incorporated by reference, constitute the entire agreement between you and HVJ Diamonds regarding your use of the website and our Services, and supersede all prior or contemporaneous communications or agreements relating to the same subject matter.
